The Canva IPO: what's confirmed, what's reported, and what employees should do before S-1 filing

No S-1 has been filed. The COO says 2027; the lead VC says 2026. The design company has $3.3B+ ARR, a Delaware domicile, and an IPO-veteran CFO — all the infrastructure is in place. What employees need to know is not the date, but what changes the day the filing drops — and what to lock in before it does.1,2

What's confirmed

  • $42 billion valuation — August 2025 tender. An employee share sale priced shares at $1,646.14 each. Buyers included Fidelity and JPMorgan Asset Management. Eligible employees could sell up to $3M in vested equity. This is the last primary-market transaction; it's the baseline for any conversation about what your options or shares are worth on paper today.1
  • $35 billion — Blackbird's August 2026 mark. Blackbird Ventures, Canva's earliest and largest VC backer, wrote down its position in August 2026, implying a ~$35B valuation. The markdown reflects the general reset of high-multiple design software comps — most visibly Figma's post-IPO trading range — not a change in Canva's business. The $35B figure comes from LP reporting, not a transaction.2
  • Delaware redomicile completed (early 2025). Canva established a US parent entity — standard preparation for a Nasdaq or NYSE listing. An Australian-domiciled company cannot list on US exchanges without this step. It is done.
  • Kelly Steckelberg joined as CFO (November 2024). She guided Zoom through its IPO. CFO hires with IPO experience are the clearest operational signal that a company is building toward a listing.
  • $3.3B+ ARR, 260M+ monthly users. Canva is reported to be one of the most profitable large pre-IPO software companies. Revenue scale matters because it determines which S-1 review track applies and how underwriters frame the valuation to institutions.3
  • No S-1 filed. As of October 2026, Canva has not submitted a registration statement to the SEC — publicly or confidentially. No date is set. This is confirmed by the absence of any EDGAR filing.

What's reported — credible, but contested

  • Blackbird says H2 2026 — Obrecht says 2027. Blackbird's LP update said Canva is "ready" for a second-half 2026 listing. COO Cliff Obrecht subsequently told Capital Brief that Canva is targeting 2027, wanting to finish its AI-layer business-model shift first. Both statements are from late 2026; the company has not issued a single official communication on IPO timing. Treat either date as illustrative, not binding.2
  • Nasdaq listing most likely. Delaware domicile, US investor base, software sector — all point to Nasdaq. Not confirmed.
  • No confirmed underwriters. Unlike Anthropic or SpaceX, no bank syndicate has been reported. Banks are typically engaged 6–9 months ahead of filing; their absence from public reporting is consistent with a 2027 timeline.

The valuation gap employees should understand

The August 2025 tender priced shares at $1,646.14. Blackbird's August 2026 mark implies roughly $35B — a gap of about 17% from the $42B tender. Two things matter about that gap:

For exercise decisions, the relevant question is not "what is Canva worth today" but "what spread would I lock in at today's FMV, and can I absorb the resulting AMT or ordinary income without selling?" See the ISO/AMT calculator for a rough model at any assumed FMV per share.

What changes the day Canva files its S-1

The S-1 is not just an announcement — it triggers a sequence that employees need to act around:

  1. Lock-up terms become public. This is the single most important disclosure for anyone with Canva equity. Whether the lockup is 90 days, 180 days, or staggered across multiple earnings releases sets the entire selling calendar. Read this section first.
  2. Quiet period restrictions intensify. Once a company files, certain communications rules apply. Internal company communications about the stock and equity program may become more restricted than they are today.
  3. Option exercise windows may close. Many private companies freeze new exercises during the S-1 review period (typically 3–5 months from confidential filing to listing). If you are considering exercising options, doing it before an S-1 is filed preserves flexibility you lose after it is.
  4. FMV for AMT purposes is set. The 409A valuation implied by the offering range will be the IRS reference point for any option exercises after filing. If shares reprice up significantly during the S-1 process, exercising later means a larger AMT spread.
  5. Tax planning window compresses. The S-1 and roadshow period is 3–5 months of planning time. After pricing, the first RSU settlement event happens at listing — and that's a taxable event whether or not you sell a share.

RSU settlement at IPO: what Canva employees with restricted stock should expect

If Canva grants RSUs with double-trigger vesting (time-based + liquidity-event trigger), the IPO is the second trigger. The day Canva lists:

Run the IPO RSU settlement calculator to estimate your withholding gap before the event.

Canva employee checklist — before the S-1 drops

  1. Map every grant: type, grant date, strike, vesting, expiration. ISO vs. NQSO changes the tax math entirely. Expiration dates matter — some early grants may be approaching 10 years from grant date.
  2. Run your exercise scenario at current FMV. At ~$1,646/share (Aug 2025 tender mark), the spread on most outstanding options is substantial. ISOs trigger AMT; NQSOs trigger ordinary income. Use the ISO/AMT calculator to estimate the cash required before you exercise.
  3. Decide your concentration target now. If most of your net worth is in Canva equity, what percentage should remain in a single stock after the lockup expires? Decide this before you can trade, not after. Use the concentration glidepath calculator to model a sell schedule.
  4. Set aside estimated tax reserves. If the IPO lands in 2026 or Q1 2027, the RSU settlement will hit a specific quarterly estimated-tax deadline. For a Q4 2026 event: January 15, 2027. For Q1 2027: April 15, 2027. The IRS 110% safe-harbor rule covers taxpayers with prior-year AGI over $150K — but only if you paid 110% of last year's tax in withholding and estimates. See the quarterly estimated tax guide.
  5. Read the S-1 lockup section the day it goes public. Do not rely on press summaries. The exact language around lockup waivers, staggered tranches, price triggers, and officer vs. non-officer distinctions is in the prospectus — not in a tweet.
  6. Model your 10b5-1 plan timing before lockup expiry. Officers and directors must adopt 10b5-1 plans outside of blackout periods and then observe a cooling-off period before the first trade. Under the 2023 SEC rules, officers need at least 90 days (or until the next 10-Q + 2 business days, whichever is later, up to 120 days). Start that process before the lockup expiration, not after. See the 10b5-1 guide.

Trying to buy Canva shares before the IPO?

There is no public market yet. Accredited investors sometimes access pre-IPO positions through secondaries or funds holding Canva shares, subject to transfer restrictions and limited information. We don't arrange or solicit investments in private securities. For the investor-intent view — how secondaries work, what the current mark means, whether Canva is a buy before it lists — see the Canva stock overview and the selling pre-IPO shares guide.

The planning window is before the S-1, not after it.

Once Canva files, the exercise freeze, quiet period, and compressed timelines make planning harder. Get matched with a fee-only fiduciary who specializes in pre-IPO equity — exercise timing, AMT modeling, RSU settlement taxes, lockup glidepath design. Free, no obligation.
