Confirmed

  • Confidential S-1 submitted June 1, 2026. The draft registration statement begins SEC review. The document becomes public before the roadshow; that release is when pricing ranges, share counts, and lockup terms finally appear.1
  • Series H closed May 2026: $65 billion at ~$965 billion. The last primary-market mark before the offering.1
  • February 2026 employee tender: $5–6 billion at ~$350B. The last liquidity window employees had. Those who held have seen the paper mark rise ever since.1

Reported — credible, not final

  • October 2026, Nasdaq. Public S-1 expected late summer; roadshow August–September; listing in October.2
  • ~$2 trillion valuation target. Reported in August 2026 as the investor goal for the offering — about 2× the Series H mark set three months earlier.2
  • Raise of $60+ billion via Goldman Sachs, JPMorgan, and Morgan Stanley as reported leads — a size that would place the deal among the largest IPOs on record.1
  • Revenue trajectory: ~$47B annualized in May 2026, with reports projecting $100–120B annualized by year-end and a first operating profit.2

How the next ~10 weeks likely sequence

  1. Public S-1. The confidential draft flips public, typically weeks before the roadshow. Read the lockup and risk-factor sections the day it drops.
  2. Roadshow and price range. Reported for August–September. A range is published, then tightened.
  3. Pricing and first trade — reportedly October. Double-trigger RSUs settle at the listing: ordinary income on the full settlement value, in Q4 2026, whether or not a single share is sold.
  4. Lockup period. No employee sales until the schedule in the S-1 says so. This is planning time: concentration policy, 10b5-1 design, estimated-payment funding for the January 15, 2027 Q4 deadline.4
